The Abu Dhabi Global Market (ADGM) has introduced new regulatory routes for fund managers, including the Institutional Fund Manager (IFM) category for managers serving exclusively institutional investors, and the Sub-Threshold Fund Manager (STFM) category for managers whose aggregate committed capital does not exceed USD200 million. The IFM category allows managers to operate with proportionate prudential and organizational requirements, including a minimum capital requirement of USD50,000 or 6/52nds of annual audited expenditure, without requiring a finance officer, internal audit function, or professional indemnity insurance. The STFM category is limited to closed-ended Exempt Funds and Qualified Investor Funds (QIFs), with a base capital requirement of USD50,000 and no expenditure-based capital minimum, though professional indemnity insurance remains required. The revised Foreign Fund Manager (FFM) framework now requires foreign managers' ADGM funds to be closed-ended QIFs, with a UAE-resident natural person on the fund's board or general partner, an ADGM-licensed fund administrator or trustee, and an ADGM-licensed corporate service provider as agent for service of process. Employee Investment Vehicles (EIVs) are now expressly excluded from the definition of a Fund, with flexibility on minimum subscription amounts subject to safeguards. Venture Capital Fund Managers (VCFMs) are brought within the STFM framework and may benefit from relevant organizational dispensations. A transition period until March 31, 2027 applies to existing Foreign Fund Managers and VCFMs to comply with the new rules.
